This License Agreement (“Agreement”) governs your use of the templates, forms, registers, frameworks, and guidance notes made available by ISO Cloud Consulting (the “Materials”). By downloading or using the Materials, you agree to this Agreement.

1) License Grant
Subject to timely payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Materials internally within your organisation for the purpose of establishing and operating your quality management system and regulatory documentation for your own devices.
2) Restrictions
- No resale, sub-licensing, renting, lending, or distribution of the Materials to third parties.
- No public posting (including GitHub, public drives, or community repositories).
- No use of the Materials (in whole or substantial part) to create or market competing template libraries, toolkits, or commercial training packs.
- Reasonable internal adaptation is permitted; however, copyright notices embedded in the Materials must not be removed.
3) Intellectual Property & Ownership
All rights, title, and interest in the Materials remain with ISO Cloud Consulting. Apart from the limited license granted herein, no rights are assigned or transferred.
4) Term, Renewal & Termination
- Subscription Materials: The license remains active only while your subscription is current and paid. Upon expiry or non-payment, your license automatically terminates, and you must cease use and delete copies of the Materials, excluding your completed records and outputs incorporated into your QMS history.
- Project Materials: If Materials are delivered under a paid consulting engagement without subscription, your internal-use license is perpetual for the specific device(s)/QMS defined in the SOW, subject to these restrictions.
- We may terminate this license immediately for material breach (including unauthorised distribution). Where curable, we will provide written notice and 14 days to cure.
5) Updates & Support
Subscribers receive updates and revisions while the subscription remains active. We may modify, reorganise, or retire content in line with regulatory changes. Support scope is defined in your plan or SOW.
6) Warranty Disclaimer
The Materials are guidance documents and do not constitute legal or regulatory advice. The Materials are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
7) Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising from or related to this Agreement or the Materials shall not exceed the fees paid for the subscription or engagement in the current term. We shall not be liable for any indirect, incidental, special, punitive, or consequential damages.
8) Audit & Compliance
We may, on reasonable notice and at our expense, request written confirmation of your compliance with this Agreement (e.g., number of seats and entities using the Materials). If a material violation is identified, you agree to promptly cure it.
9) Governing Law & Jurisdiction
Primary: This Agreement is governed by the laws of the Republic of South Africa, with exclusive jurisdiction in the High Court of South Africa, Durban.
